The Fundamentals
What is business verification?
Business verification is the independent confirmation that a company is legally registered, currently in good standing, operating from its stated address and authorised to conduct the transaction in question.
A website, a brochure and a responsive sales contact tell you almost nothing about who you are actually dealing with. Shell companies, dissolved entities, impersonators and unauthorised signatories all appear identical to a genuine counterparty until someone checks the record.
Business verification checks the record. We confirm registration details against official company registries, verify that the entity is active and in good standing, validate its operating address, identify its ownership and control structure, and confirm that the person signing your contract has authority to bind the company.
The output is a documented verification report — evidence you can place in your compliance file, show your board, and rely on when deciding whether to proceed.
What We Verify
The dimensions of a verified counterparty
Each dimension closes a specific fraud or failure pathway.
Legal registration
Registration number, incorporation date, registered address and legal form confirmed against the official registry.
Status & good standing
Active, dissolved, struck-off or in liquidation — current status verified, including any recent adverse filings.
Operating address
Physical presence validated — the difference between a real operation and a mailbox in a service-provider building.
Ownership & control
Shareholding and directorship structure identified, including beneficial ownership where records permit.
Signing authority
Confirmation that the individuals negotiating and signing on behalf of the company are authorised to bind it.
Business profile
Stated activities, trading history indicators and public footprint assessed for consistency with the proposed deal.
Engagement Process
How a verification engagement runs
From instruction to report — a defined, confidential process.
Instruction & scope
You provide the counterparty’s details and the transaction context. We agree the verification scope and turnaround.
Registry confirmation
Registration, status, address and officer records are pulled from official sources and cross-checked.
Operational validation
Operating presence and business profile are validated through documentary and, where scoped, physical checks.
Authority verification
The signatory’s authority to bind the company is confirmed against corporate records and authorisation documents.
Analysis & red flags
Findings are analysed for inconsistencies — mismatches between stated and recorded facts are flagged and explained.
Verification report
You receive a clear written report: verified facts, sources, red flags and an overall verification statement.
The Deliverable
What your verification report contains
A report built for decision-makers, not a data dump.
Every report is structured to answer one question — can we proceed with this counterparty — with the evidence to support the answer.
- Verified identity: legal name, registration number, jurisdiction and legal form
- Current status with the date of verification and source references
- Registered and operating addresses, with presence assessment
- Ownership, directorship and beneficial-control summary
- Signatory authority confirmation for the named individuals
- Red-flag section: every inconsistency found, with our assessment
- Overall verification statement and confidence level
Pairs with escrow
Verification before escrow funding is the standard sequence: confirm who the counterparty is, then secure how the transaction settles.
Honest limits
Verification confirms recorded facts as of the verification date. Registry depth varies by jurisdiction — the report states what could and could not be confirmed.
Engagement Scope
Choosing the right verification depth
Scope is matched to the transaction’s value, the counterparty’s profile and your risk appetite.
| Dimension | Standard verification | Enhanced verification |
|---|---|---|
| Registry confirmation | Registration, status, registered address | Standard scope plus historical filings and changes |
| Officers & ownership | Current directors and recorded ownership | Beneficial ownership research and control mapping |
| Operating presence | Documentary validation of stated address | Physical or local-agent presence validation where available |
| Signatory authority | Confirmation against corporate records | Authorisation documents reviewed for the specific transaction |
| Adverse information | Registry-level adverse status | Broader adverse-media and litigation screening where sources permit |
| Typical use case | Established counterparties, moderate values | New counterparties, high values, sensitive jurisdictions |
Common Questions
Business verification questions, answered
Standard verifications in well-documented jurisdictions typically complete within a few business days. Enhanced scope, cross-border structures or registries with limited online access extend the timeline — we confirm the expected turnaround before you commit.
Registry and record checks are conducted using public and licensed sources and do not require the counterparty’s participation. Where the scope requires documents only the counterparty holds, we coordinate the request transparently.
We verify companies across our coverage network, with depth varying by jurisdiction’s registry quality and local resources. Before engagement we confirm what can be verified in the specific jurisdiction and tell you plainly where limits exist.
Verification is a core component of due diligence focused on identity, status and authority. Full commercial due diligence — financials, references, market position — is a broader exercise; our trade risk assessment covers the wider picture.
You receive the findings with our assessment of their significance. Some red flags are explainable; some are deal-breakers. The report gives you the evidence to make that call — and if you proceed, the knowledge shapes the escrow conditions we recommend.
